Partner Jesse Berg Quoted in Law360 on Sanford-Marchfield Merger, Rise in Cross-Market Deals

Lathrop GPM Partner Jesse Berg was recently featured alongside other attorneys in a review of the merger of two Midwest health systems.

On July 10, Marshfield Clinic Health System and Sanford Health announced their plans to merge, creating an organization that estimates to bring in $10 billion in revenue, based on recent fiscal reports from both systems. The combined entity would create a rural nonprofit health system with 56 hospitals and 4,300 providers across three states.

"I think folks are interested in this idea of cross-market mergers because of what some of the enforcement agencies have been saying over the years," said Jesse Berg.

He pointed to recent moves by the Federal Trade Commission and the U.S. Department of Justice, both of which have amended their merger guidelines for the healthcare industry in recent years, and noted it's interesting to see how antitrust is developing over time.

Berg noted that it's possible that cross-market transactions will continue from a competitive perspective because they're different from a competitive perspective because they're different from the traditional way that antitrust law has historically been applied in healthcare.
