  • Represented a startup with a $60 million SAFE investment and follow-on $80 million Series A financing, including the SAFE conversion.
  • Advised a European company in forming a joint venture with a South American company to establish U.S. operations, addressing strategic, Delaware law and tax matters.

  • Assisted in an underwritten public offering concerning its merger into a SPAC.
  • Assisted in restructuring Famous Dave’s to form a new publicly traded holding company, BBQ Holdings, Inc.
  • Represented multiple public companies, including a former SPAC, in compliance with securities regulations and Sarbanes-Oxley requirements.
  • Negotiated terms for a startup company’s secure financing and equity investment from a major national insurance company.
  • Assisted a large foundation with the review of private fund documentation.
  • Counseled a company’s board on rejecting an unsolicited takeover offer.
  • Advised an ESOP on corporate and securities issues in connection with a leveraged buyout of the sponsoring company.
